These terms apply to all visitors, clients and businesses using our website or engaging our services. If you do not agree with any part of these terms, please discontinue using our website and services.

Important information about our terms.

These Terms & Conditions explain the general conditions governing our services, including service scope, payment obligations, intellectual property, client responsibilities and limitations. Individual proposals, quotations and written service agreements may contain additional terms that apply to specific projects.

1. Agreement

These Terms & Conditions establish the agreement between Digital Lead Metrics, referred to as "we," "us" or "our," and the individual, business or organization accessing our website or engaging our services, referred to as "you" or "the client."

These terms apply to all services provided by Digital Lead Metrics unless a separate written agreement, proposal or service contract specifies otherwise. By accepting a proposal, approving a service agreement or making payment for our services, you acknowledge that you have read and agreed to these Terms & Conditions.

2. Definitions

For the purposes of these Terms & Conditions, Digital Lead Metrics (DLM) refers to the digital marketing agency providing marketing, website development and related services. Client refers to any individual, business or organization purchasing or requesting our services.

Services refer to digital marketing, SEO, advertising, website development, design, content creation and other services offered by DLM. Deliverables refer to agreed work products, including website pages, marketing content, reports, designs, campaigns and other project materials. Third-Party Platforms refer to external services such as Google, Meta, Microsoft, hosting providers and other technology or advertising providers.

3. Digital Marketing Services

Digital Lead Metrics provides digital marketing and online growth solutions to businesses. Our services may include Digital Marketing, Search Engine Optimization (SEO), Local SEO, Pay-Per-Click (PPC) Management, Social Media Marketing, Email Marketing, Keyword Research, Content Marketing, Web Development, UI/UX Design, SEO Audits and Ecommerce SEO.

The specific services, deliverables, timelines and pricing will be outlined in the applicable proposal, quotation or service agreement. DLM reserves the right to modify, improve or discontinue its service offerings when necessary.

4. Service Scope & Deliverables

The scope of each project will be determined by the agreed proposal, service agreement or written communication between DLM and the client. Services may include research, planning, implementation, optimization, reporting, content development and ongoing campaign management.

Any additional work requested outside the agreed scope may require separate approval and additional charges. DLM will make reasonable efforts to complete deliverables within agreed timelines. However, schedules may be affected by delayed client approvals, missing information, third-party dependencies or circumstances beyond our reasonable control.

5. SEO & Search Engine Rankings

Search Engine Optimization involves improving website visibility through technical improvements, keyword research, on-page optimization, content development, internal linking and other approved SEO practices. DLM will use industry-recognized SEO practices and reasonable efforts to improve a client's organic search performance.

However, search engine rankings, indexing, organic traffic and search visibility are influenced by factors outside our control, including search engine algorithms, competitor activity, website changes and industry conditions.

DLM does not guarantee specific Google or other search engine rankings, a particular number of website visitors or organic leads, first-page search positions, specific increases in traffic or conversions, or a fixed timeframe for achieving SEO results.

6. PPC & Paid Advertising

DLM may provide paid advertising management services through platforms such as Google Ads, Microsoft Advertising, Meta Ads and other advertising networks. Unless otherwise agreed in writing, advertising budgets and platform charges are separate from DLM's campaign management fees.

Clients are responsible for providing accurate billing information and maintaining sufficient advertising funds when required. DLM does not guarantee a specific number of clicks, impressions, leads, conversions or return on advertising spend.

Advertising platforms may change their policies, pricing, targeting options, approval processes and delivery methods without prior notice. DLM is not responsible for advertising account suspensions, rejected advertisements, platform restrictions or policy changes outside its reasonable control.

7. Social Media & Email Marketing

DLM may provide social media management, content creation, campaign planning, email marketing and related communication services. Clients are responsible for ensuring that information, promotional claims, images, contact lists and materials supplied to DLM are accurate and authorized for use.

Email campaigns and promotional communications must comply with applicable marketing, privacy and anti-spam requirements. DLM is not responsible for delivery issues, account restrictions, audience engagement changes or platform interruptions caused by third-party providers.

8. Website Development & UI/UX Design

DLM may provide website development, design, redesign, maintenance and user experience optimization services. The project scope, design requirements, functionality and deliverables will be established through the applicable proposal or written agreement.

Clients are responsible for providing accurate business information, content, images, credentials and approvals necessary for project completion. Unless otherwise agreed, requests for additional features, significant design changes or work beyond the approved scope may involve additional fees.

DLM does not guarantee uninterrupted website availability, compatibility with every device or browser, or protection against all possible security threats.

9. Content & Intellectual Property

All content, materials, graphics, designs, text, images and other resources used or created during a project may be subject to copyright, intellectual property rights and applicable licensing restrictions. Ownership and usage rights for final project deliverables will be determined by the applicable service agreement.

Unless otherwise agreed in writing, clients retain ownership of materials they provide to DLM. DLM retains ownership of its pre-existing tools, templates, methods, processes and proprietary resources. Third-party images, fonts, software, plugins and other licensed materials remain subject to their respective licensing terms.

DLM may use properly authorized project work in its portfolio or marketing materials unless the client and DLM agree otherwise in writing. Clients must ensure that all materials supplied to DLM are legally authorized for use.

10. Client Responsibilities

Clients agree to cooperate with DLM and provide the information and resources reasonably required to perform the agreed services. These responsibilities may include providing accurate business and contact information, supplying website, hosting and marketing account access when necessary, and providing relevant content, images, branding materials and business details.

Clients are also responsible for reviewing and approving deliverables within reasonable timeframes, maintaining ownership or appropriate authorization for supplied materials, ensuring that products and promotional claims comply with applicable laws, and maintaining the security of their accounts and access credentials.

Delays in providing required information, approvals or access may affect project timelines and service delivery.

11. Fees & Payment

Fees for DLM services will be communicated through proposals, quotations, invoices or written service agreements. Depending on the project, payments may include one-time project fees, monthly marketing management fees, recurring service charges, website development or maintenance fees, and additional charges for work outside the agreed scope.

Clients agree to pay invoices according to the payment schedule and terms specified in the applicable agreement. DLM reserves the right to pause work or suspend services for overdue or unpaid invoices, subject to applicable contractual and legal requirements.

12. Advertising Budgets & Third-Party Costs

Advertising expenditure, hosting charges, domain registrations, premium plugins, software subscriptions, stock images and other third-party expenses may be separate from DLM service fees. Unless otherwise agreed, clients are responsible for these additional expenses.

Third-party costs, subscription renewals and platform charges may change according to the relevant provider's pricing and policies. DLM is not responsible for charges imposed directly by external platforms or service providers.

13. Confidentiality & Data Protection

DLM understands the importance of protecting confidential business information shared during the course of a project. We will take reasonable measures to protect confidential client information and use it only for legitimate business and service-related purposes.

Clients are also responsible for maintaining the confidentiality of account credentials, passwords and other sensitive information. Both parties should take reasonable precautions when sharing confidential information and accessing business systems.

Personal information collected through our website or services will be handled in accordance with our applicable Privacy Policy and relevant data protection laws.

14. Third-Party Platforms & Services

DLM may use or work with third-party services and platforms, including Google Search, Google Ads, Google Analytics, Google Search Console, Meta platforms such as Facebook and Instagram, Microsoft Advertising, website hosting and domain providers, content management systems, ecommerce platforms, plugins and marketing tools.

These platforms operate independently and are governed by their own terms, policies and privacy practices. DLM does not control third-party services and is not responsible for their availability, technical failures, policy changes, account restrictions or service interruptions.

15. Marketing Performance Disclaimer

Digital marketing results depend on various factors, including market demand, competition, customer behavior, website quality, advertising budgets, industry trends and third-party platform algorithms.

Although DLM uses professional strategies and reasonable efforts to improve marketing performance, we cannot guarantee specific business results. Any projections, estimates, forecasts, recommendations or performance expectations shared by DLM are provided for informational and planning purposes and should not be considered guaranteed outcomes.

Clients acknowledge that digital marketing involves ongoing testing, evaluation and optimization.

16. Service Limitations & Exclusions

Unless expressly included in a written agreement, DLM services do not automatically include legal, accounting or financial advice; guaranteed sales, leads or revenue; third-party software and subscription costs; domain registration and hosting charges; extensive additional development outside the agreed scope; repairs to unrelated website or server issues; or services requiring unauthorized access to third-party accounts or systems.

Any additional requirements must be discussed and approved separately.

17. Website Use & Acceptable Conduct

Visitors agree to use the DLM website for lawful and legitimate purposes. You must not use the website for unlawful, fraudulent or misleading activities; attempt unauthorized access to our website, servers or systems; introduce viruses, malicious code or harmful software; or interfere with website functionality or security.

You must not copy, reproduce, distribute or commercially exploit website content without authorization, or use website forms and communication channels for spam or abusive purposes.

DLM reserves the right to restrict access to its website when necessary to protect its systems, content and users.

18. Limitation of Liability

To the maximum extent permitted by applicable law, DLM will not be liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, business opportunities, data or anticipated savings.

DLM is not responsible for losses resulting from search engine algorithm changes, advertising platform decisions, third-party service interruptions, unauthorized account access or circumstances beyond its reasonable control.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by applicable law. Any additional limitations of liability agreed between DLM and a client will be governed by the applicable written service agreement.

19. Indemnification

Clients agree to indemnify and hold harmless Digital Lead Metrics, its employees, representatives and service providers from claims, liabilities, damages, losses and reasonable expenses arising from breach of these Terms & Conditions, unlawful or unauthorized use of our services, infringement of third-party intellectual property rights through materials supplied by the client, misleading or inaccurate information provided by the client, or violation of applicable laws or third-party platform policies by the client.

This provision applies to the extent permitted by applicable law.

20. Cancellation & Termination

Either party may terminate an ongoing service agreement according to the cancellation terms specified in the applicable proposal or written agreement.

DLM may suspend or terminate services where a client materially breaches these Terms & Conditions, required payments remain overdue, a client uses services for unlawful purposes, a client engages in abusive, fraudulent or unauthorized activities, or continued service delivery becomes unlawful or commercially impractical.

Upon termination, the client remains responsible for outstanding fees and approved expenses incurred before the termination date. Any transfer of website files, accounts, access credentials or completed deliverables will be handled according to the applicable service agreement and payment obligations.

21. Force Majeure

DLM will not be held responsible for delays or failures in service delivery caused by circumstances beyond its reasonable control. Such circumstances may include natural disasters, severe weather, fires, floods, power outages, internet disruptions, cyberattacks, government restrictions, labor disputes, war, civil unrest or third-party service failures.

DLM will make reasonable efforts to minimize disruptions and resume affected services when circumstances permit.

22. Service Availability & Website Maintenance

DLM aims to maintain the availability of its website and online services. However, temporary interruptions may occur due to maintenance, updates, technical issues, hosting problems or other operational requirements.

DLM does not guarantee uninterrupted access to its website and reserves the right to modify, suspend or discontinue website features when necessary.

23. Governing Law & Jurisdiction

These Terms & Conditions will be governed by the laws of the jurisdiction in which the legal entity operating Digital Lead Metrics is registered, unless otherwise required by applicable law.

Any disputes arising from these Terms & Conditions will be handled by the courts of the applicable jurisdiction, subject to mandatory legal requirements.

24. Severability & Waiver

If any provision of these Terms & Conditions is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Failure by DLM to enforce any provision does not constitute a waiver of its right to enforce that provision or any other provision in the future.

25. Modifications to These Terms

DLM reserves the right to update, modify or revise these Terms & Conditions when necessary. Updated versions will be published on our website with a revised effective date.

Your continued use of our website or services after updated terms become effective constitutes acceptance of the revised terms, to the extent permitted by applicable law. Clients with existing service agreements may also be subject to the terms of their individual agreements.
